Terms & Conditions

LED Wall Rental & Sales Agreement — Last updated: June 2026

Important: By booking any ISANEX service, placing an order, or signing a rental agreement, you ("Client") agree to be bound by these Terms & Conditions in their entirety. Please read carefully before confirming your reservation.

1. Definitions

For purposes of these Terms & Conditions:

  • "ISANEX" refers to ISANEX LLC, located at 29 Sebago Street, Clifton, NJ 07013, its employees, contractors, and agents.
  • "Client" refers to the individual, company, or organization booking or purchasing ISANEX services.
  • "Equipment" refers to all LED panels, processors, cabling, trussing, rigging hardware, controllers, and any other items provided by ISANEX.
  • "Rental Period" means the time from equipment delivery through equipment pickup, as specified in the booking confirmation.
  • "Event Date" means the date(s) on which the Client's event is scheduled to take place.
  • "Booking Confirmation" means the written confirmation email sent by ISANEX specifying the rental details, pricing, and terms.

2. Booking & Reservation

A reservation is not confirmed until ISANEX sends a written Booking Confirmation and the required deposit has been received. Online booking requests are subject to availability verification and ISANEX's sole discretion to accept or decline.

To complete a reservation, the Client must provide:

  • Full legal name and organization name (if applicable)
  • Valid contact phone number and email address
  • Event date, start time, and end time
  • Venue name, full address, and venue contact information
  • Desired equipment configuration (indoor P1.9, outdoor P2.6, or specific size)
  • Power availability at the venue (circuit type and amperage)
  • Required deposit payment

ISANEX reserves the right to request a valid government-issued ID and a credit card on file for all rental transactions. New clients are required to pay in full at the time of booking.

3. Payment Terms

Accepted payment methods: ACH bank transfer, credit card (Visa, Mastercard, Amex), company check, and bank check. Credit card payments may incur a processing fee of up to 3%. Personal checks are not accepted. All amounts are in US dollars.

Failure to remit the remaining balance by the due date may result in cancellation of the booking without refund of the deposit. ISANEX reserves the right to charge a $75 late payment fee for balances not received within 24 hours of the due date.

For multi-day events exceeding 3 days, ISANEX may require full payment at the time of booking.

4. Sales Tax

All rentals and sales are subject to applicable New Jersey sales tax (currently 6.625%) unless the Client provides a valid NJ tax-exempt certificate prior to payment processing. Tax-exempt certificates must be emailed to info@isanex.com before the invoice is issued. ISANEX cannot retroactively remove sales tax from a paid invoice.

Clients based outside New Jersey may be subject to use tax in their home state — it is the Client's responsibility to comply with applicable tax laws.

5. Equipment Standards & Testing

ISANEX guarantees that all equipment delivered to a rental site is fully operational at the time of delivery. Every piece of equipment undergoes thorough inspection and quality testing before and after each rental.

ISANEX's quality standards include:

  • Full LED panel calibration before every rental
  • Processor and signal chain testing with the Client's intended content format
  • Pixel defect inspection — panels with more than 0.01% dead pixels are removed from rental inventory
  • Structural integrity check of all trussing and rigging hardware
  • Backup processor and spare panels loaded on every delivery truck

ISANEX does not dispatch equipment that has not been tested and certified operational within 48 hours of the rental date.

6. Delivery, Setup & Teardown

All rentals include delivery to the venue, professional setup, on-site technical support during the event, and full teardown and pickup. Delivery fees may apply based on distance from Clifton, NJ.

  • Setup time: Standard setup requires 2–4 hours before the event. Client must ensure ISANEX crew has venue access during this window.
  • Teardown: Standard teardown requires 1–2 hours after the event concludes.
  • Venue access: Client is responsible for coordinating load-in and load-out access with the venue. ISANEX is not responsible for delays caused by venue access restrictions.
  • Parking: Client must ensure adequate parking or loading dock access for the ISANEX delivery vehicle. Any parking fees are the Client's responsibility.
  • Venue clearances: Client is responsible for obtaining all necessary venue permits, rigging approvals, and structural certifications required for the installation.
  • Power: Client must ensure adequate power supply at the venue as specified in the booking confirmation. ISANEX requires dedicated circuits — sharing circuits with other high-draw equipment may cause failures and is not covered under our malfunction guarantee.

7. Client Responsibilities

The Client agrees to:

  • Provide accurate venue information including ceiling height, floor load rating, and power availability
  • Ensure a designated point of contact is present and reachable throughout the event
  • Not modify, disassemble, relocate, or tamper with any ISANEX equipment
  • Not allow unauthorized personnel to operate or handle ISANEX equipment
  • Notify ISANEX immediately of any equipment issues, damage, or theft
  • Ensure the equipment is not exposed to conditions exceeding the rated operational specifications (outdoor panels: -4°F to 140°F; indoor panels: 32°F to 104°F)
  • Protect equipment from moisture, liquid spills, and direct water exposure (outdoor panels are IP65-rated for rain; submerging or power-washing is prohibited)
  • Ensure the venue environment is free from excessive dust, smoke machine residue, and airborne debris that could damage panels
  • Return all equipment in the same condition as received, normal wear expected

8. Equipment Damage & Loss

The Client is financially responsible for any damage to or loss of ISANEX equipment that occurs during the rental period and is not attributable to normal wear and use.

A damage assessment is performed during teardown. The Client will be notified of any damage within 48 hours of pickup with an itemized invoice. Damage charges are due within 10 business days of the invoice date. ISANEX reserves the right to charge the Client's credit card on file for damage amounts not paid within 30 days.

Normal wear includes minor surface scratches on panel frames and normal pixel aging consistent with use. It does not include cracked panels, bent frames, liquid damage, missing components, or burn-in caused by static content.

9. Permitted Use & Content

ISANEX equipment may only be used for lawful purposes. The Client is solely responsible for all content displayed on ISANEX equipment and warrants that such content:

  • Does not infringe any copyright, trademark, or intellectual property rights
  • Is not defamatory, obscene, hateful, or otherwise unlawful
  • Does not violate any applicable laws or regulations
  • Has been properly licensed for public display (music, video footage, logos, etc.)

ISANEX accepts no responsibility for content displayed by the Client. The Client agrees to indemnify and hold ISANEX harmless from any claims arising from the content displayed during the rental period.

Static content warning: Displaying a completely static image for more than 2 consecutive hours may cause temporary image retention. ISANEX recommends using motion content or screen savers for extended display periods. Permanent burn-in caused by prolonged static display is not covered under our equipment guarantee and may result in damage charges.

Supported content formats: MP4, MOV, AVI, JPG, PNG, via HDMI, SDI, or USB. Content should be provided to ISANEX at least 24 hours before the event for testing and calibration.

10. Technical Support & Malfunction

An ISANEX technician is on-site for every rental event. In the event of equipment malfunction:

  • ISANEX will deploy backup equipment (spare panels and processors are loaded on every delivery)
  • If the malfunction cannot be resolved within 60 minutes and materially impairs the event, ISANEX will issue a pro-rated credit based on the duration of downtime
  • Malfunctions caused by Client actions (incorrect power supply, unauthorized modification, content format issues) are not covered and may result in additional charges
  • ISANEX's liability for equipment malfunction is limited to a pro-rated credit of the rental fee — ISANEX is not liable for consequential damages including lost revenue, event cancellation costs, or reputational harm

For owned LED wall systems (not rentals), ISANEX provides emergency technical support at our standard service rates. 24/7 emergency support contracts are available separately.

11. Cancellations & Rescheduling

All cancellations are governed by our Cancellation Policy, which is incorporated into these Terms by reference. In summary:

All cancellation requests must be submitted in writing to bookings@isanex.com. Phone calls do not constitute official cancellation notice. Your cancellation is confirmed when you receive a written acknowledgment from ISANEX.

12. Weather & Force Majeure

Our outdoor P2.6 LED panels are IP65-rated for rain and dust. Weather alone is not grounds for a refund. ISANEX makes the final determination on whether weather conditions pose a genuine safety risk to equipment or personnel.

If ISANEX determines conditions are unsafe and cannot operate the equipment, the Client will receive a full rental credit valid for 12 months. Cash refunds for weather cancellations on the event day are not provided.

In cases of force majeure (acts of God, government orders, venue closures, public health emergencies, or other events beyond reasonable control), ISANEX will offer a full credit valid for 24 months. Cash refunds for force majeure are at ISANEX's sole discretion.

13. LED Wall Sales Terms

All sales of LED wall systems, panels, processors, and accessories are final. ISANEX does not accept returns on purchased equipment except in cases of verified manufacturing defect within the warranty period.

Sales terms:

  • Quote validity: All written quotes are valid for 30 days from the date of issue. After 30 days, pricing is subject to change.
  • Payment for sales: 50% deposit at order confirmation; remaining 50% due before delivery or pickup.
  • Lead time: In-stock items ship within 5–10 business days. Custom-configured systems may require 4–8 weeks. ISANEX will provide a specific lead time in the sales order.
  • Shipping: Client is responsible for shipping costs unless otherwise specified in writing. Risk of loss transfers to the Client upon handoff to the shipping carrier.
  • Inspection: Client must inspect all delivered equipment within 5 business days of receipt and report any shipping damage or missing items. Claims submitted after 5 business days may not be honored.
  • Custom orders: Orders for custom-configured or specially sourced LED systems are non-cancellable after production begins.

14. Warranty — Sales

Purchased LED wall equipment comes with the following limited warranty:

The warranty does not cover damage caused by: improper installation (if not performed by ISANEX), physical impact, liquid damage, power surges, unauthorized modification, burn-in from static content, or normal wear and aging of LED pixels.

Warranty claims must be submitted in writing to info@isanex.com with photo or video evidence of the defect. ISANEX will respond within 5 business days with repair, replacement, or credit options at our discretion.

15. Installation Services

For permanent LED wall installations, ISANEX provides turnkey installation services including site survey, engineering, installation, and commissioning. Installation terms:

  • A signed work order and 50% deposit are required before any installation work begins
  • Client is responsible for ensuring the installation site is structurally adequate for the LED wall system. ISANEX may require a structural engineering report for large installations
  • Client must obtain all required building permits. ISANEX can assist with permit documentation but the Client is the responsible party
  • Electrical work must be performed by a licensed electrician. ISANEX provides specifications; local code compliance is the Client's responsibility
  • ISANEX is not responsible for delays caused by third-party contractors, permit delays, or site conditions not disclosed prior to the installation date
  • Final payment is due upon completion of installation and Client sign-off

16. Intellectual Property & Content

All ISANEX branding, logos, website content, and marketing materials are the intellectual property of ISANEX LLC and may not be reproduced without written permission.

Client-supplied content, artwork, and materials remain the property of the Client. By providing content to ISANEX, the Client grants ISANEX a limited license to reproduce and display that content solely for the purpose of fulfilling the service agreement.

ISANEX may photograph or video the installation/event setup for portfolio and marketing purposes unless the Client provides written objection at the time of booking. Client name and event details will not be disclosed in marketing materials without explicit written consent.

17. Indemnification

The Client agrees to indemnify, defend, and hold harmless ISANEX, its officers, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from:

  • The Client's use of ISANEX equipment
  • Content displayed on ISANEX equipment
  • The Client's breach of these Terms
  • Injury to persons or damage to property occurring at the Client's event
  • The Client's violation of any applicable laws or regulations

18. Limitation of Liability

ISANEX's total liability to the Client for any claim arising out of or related to these Terms or any ISANEX service, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

In no event shall ISANEX be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost revenue, lost profits, business interruption, event cancellation costs, reputational harm, or cost of substitute services.

This limitation applies even if ISANEX has been advised of the possibility of such damages.

19. Insurance

ISANEX carries general liability insurance covering our equipment and operations. However, ISANEX's insurance does not cover the Client's event, attendees, or third-party property.

ISANEX strongly recommends that Clients obtain:

  • Event liability insurance — covering attendee injuries and third-party property damage
  • Equipment rental insurance — covering accidental damage to rented equipment

For large outdoor events or high-value rentals, ISANEX may require proof of Client liability insurance naming ISANEX as an additional insured prior to confirming the booking.

20. Governing Law & Disputes

These Terms & Conditions are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

Any dispute arising from these Terms or any ISANEX service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration in Passaic County, New Jersey, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees.

Notwithstanding the above, ISANEX may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or equipment.

21. Modifications

ISANEX reserves the right to update these Terms & Conditions at any time. Changes will be posted at isanex.com/terms-and-conditions with an updated effective date. Your continued use of ISANEX services after changes constitutes acceptance of the revised Terms. For bookings already confirmed prior to a Terms update, the Terms in effect at the time of booking apply.
